Ridge minutes

July 13, 2003

Present: Linda Edwards, Judith Lange (lst part of meeting), Harvard Sitkoff, Tom Treece, Gloria Singer (Guest)

Absent: Dick Johnson

Gloria Singer was invited to be present, to provide her perspectives and sense of priorities, as the outgoing Ridge Board president.

Of particular concern to Gloria is her recent finding that there is no evidence that the amendments to the Ridge by-laws have been filed with Rockingham County since sometime in the mid-late 1990s. The amendments not filed that she is personally aware of relate to the number of members of the Architectural Review committee (now 5) and the date of the annual meeting (moved from October to June). It had been our understanding that these had been filed by our Property Manager, but apparently this is not the case. The property manager has filed amendments for the MPCA during this period, so it is unclear both why the Ridge amendments were not filed and why we have not been told this anytime during the past year and half, when we have repeatedly asked about the status of by-laws.

It is essential that this situation be corrected. Linda will contact Great North, asking them to go through minutes of annual meetings to find all relevant amendments and then arranging to have them properly filed. We have been operating under these amendments for some time and proper documentation is essential.

Gloria also brought members up to date about current MPCA activities. (There are reported in the July MPCA minutes.)

Gloria also presented a notebook of documents applicable to the past year and half of Ridge activity.

Arrangements have been made for the various landscape projects which were authorized at the May meeting. Harvard asked how the final budget for this year’s expenditures on landscape was determined and whether the final result differed from the Board’s decision at its May meeting. The decision of the May meeting had been to allocate funds to several items. The total actual amount devoted was determined later, based on “what is available” in the budget. The final amount was discussed  in email exchange among the outgoing directors and is somewhat less (approximately  $1100 total for all the projects).

A tentative plan for new board officers was devised: Linda Edward, President; Tom Treece, Treasurer; Dick Johnson to the Water study group of the MPCA. We will ask Judy Lange to serve as secretary. Linda will ask to step down as Treasurer of the MPCA, after the fall MPCA meeting, but, since the MPCA prefers that the President of the Association be on the MPCA board, she will be the Ridge representative to the MPCA board.
